1. Introduction
Welcome to Joetri, an online marketplace and fulfilment center operated by Trade Gate Africa (Pty) Ltd, trading as Joetri ("Joetri", "we", "our", "us"). These Terms of Service ("Terms") govern your access to and use of the Joetri website, platform, products, services, and applications (collectively referred to as the "Services").
By accessing or using our Services, whether as a Vendor, Supplier, Customer, or User, you agree to be bound by these Terms, as well as our Privacy Policy, Acceptable Use Policy, and any other applicable policies referenced herein or available on our platform.
If you do not agree to these Terms, you must refrain from accessing, registering, or using any part of the Joetri platform.
Joetri reserves the right to amend or update these Terms at any time. Any changes will be posted on our website, and continued use of our Services constitutes acceptance of the revised Terms.
2. Definitions
For the purposes of these Terms of Service, the following terms shall have the meanings set out below:
- "Joetri" / "we" / "us" / "our": Refers to Trade Gate Africa (Pty) Ltd, a company registered in South Africa, trading as Joetri, including its platform, services, and authorised representatives.
- "Platform": The online marketplace and fulfilment service operated by Joetri and accessible via www.joetri.com.
- "Services": All features, tools, products, services, and functionalities provided by Joetri, including the marketplace, vendor portals, fulfilment services, and related applications.
- "Vendor" / "Supplier": Any individual, business, or entity that registers on Joetri to sell or list products, either as a third-party seller or via direct supply to Joetri.
- "Customer": Any person or entity who browses, purchases, or uses products or services via Joetri.
- "User": Any person or entity accessing or interacting with the Joetri platform, whether as a customer, vendor, or visitor.
- "Product(s)": Any goods, items, or services listed for sale by Vendors on the Joetri platform.
- "Subscription Fees": Charges paid by Vendors for access to specific features, tools, or services on the platform.
- "Commission": The percentage or fee retained by Joetri from each transaction made via the platform.
- "Terms": These Terms of Service, including any amendments, policies, and guidelines incorporated by reference.
- "Content": All text, images, logos, product descriptions, data, and multimedia uploaded, posted, or shared on the platform.
- "Parties": Collectively refers to Joetri and the User, Vendor, or Customer engaged with the platform.
3. Acceptance of Terms
By accessing, registering, or using the Joetri platform and its Services, you confirm that you have read, understood, and agree to be bound by these Terms of Service, together with our Privacy Policy, Acceptable Use Policy, and any other policies that may apply.
If you are entering into these Terms on behalf of a business, company, or other legal entity, you represent that you have the authority to bind such entity to these Terms. In such cases, the terms "you" and "your" shall refer to both you as an individual and the entity you represent.
If you do not agree to these Terms or any part thereof, you must not use or access the Joetri platform or Services.
Your continued use of the platform following any updates to these Terms constitutes your acceptance of those changes. We recommend that you review these Terms periodically.
4. Eligibility
To access and use the Joetri platform and Services, you must meet the following eligibility criteria:
✅ 4.1 Age Requirement
You must be at least 18 years old or the legal age of majority in your country of residence to register and use the Services. By using the platform, you confirm that you meet this age requirement.
✅ 4.2 Legal Capacity
You must have the full legal capacity to enter into binding contracts under the laws of your jurisdiction. If you are registering or acting on behalf of a company or other legal entity, you must have the proper authorisation to represent and bind that entity to these Terms.
✅ 4.3 Compliance with Laws
By using Joetri, you confirm that you are not subject to any restrictions, sanctions, or prohibitions under applicable laws that would prevent you from using the platform or engaging in commercial transactions.
✅ 4.4 Account Eligibility for Vendors
Vendors and Suppliers must:
- Provide accurate business information during registration, including company details, tax information, and banking details.
- Comply with all Joetri policies, including our Supplier Agreement, Acceptable Use Policy, and applicable laws governing their products and operations.
- Not have been previously suspended or removed from the Joetri platform for violation of our Terms or any unlawful activity.
We reserve the right to refuse, suspend, or terminate accounts that do not meet these eligibility criteria.
5. Account Registration and Security
✅ 5.1 Account Creation
To access certain features of the Joetri platform, including buying or selling products, you are required to register an account by providing accurate, complete, and current information as prompted during the registration process.
You agree to:
- Provide truthful and up-to-date information during registration.
- Maintain and promptly update your account details to keep them accurate and complete.
- Ensure that your chosen username, brand name, or store name does not infringe on any trademarks or intellectual property rights.
✅ 5.2 Account Security
You are responsible for:
- Maintaining the confidentiality of your account credentials, including your password.
- Restricting access to your account to prevent unauthorized use.
- Not sharing login credentials with any third party.
You agree to notify Joetri immediately at support@joetri.com if you suspect or become aware of any unauthorized use of your account or any other breach of security.
✅ 5.3 Multiple Accounts
Joetri reserves the right to limit the number of accounts per individual or entity if there is evidence of abuse, fraud, or attempts to circumvent platform policies.
✅ 5.4 Responsibility for Activities
You are fully responsible for all activities that occur under your account. Joetri shall not be liable for any loss or damage arising from your failure to comply with these obligations.
6. Vendor & Supplier Obligations
Vendors and Suppliers registered on Joetri agree to the following obligations to ensure compliance, quality, and reliability on the platform:
✅ 6.1 Accuracy of Product Information
Vendors must:
- Provide accurate, complete, and truthful information about their products, including specifications, pricing, and availability.
- Regularly update product listings to reflect current stock levels and pricing.
✅ 6.2 Compliance with Laws
All products and services offered must comply with:
- South African laws and regulations.
- Any international trade regulations where applicable.
- Consumer Protection Acts, safety standards, and any relevant certifications.
✅ 6.3 Product Quality and Authenticity
Vendors are obligated to:
- Offer genuine and authentic products only.
- Ensure that products meet industry standards and are free from defects.
- Avoid listing prohibited, counterfeit, or illegal items, as outlined in our Acceptable Use Policy.
✅ 6.4 Fulfilment and Delivery
Vendors who manage their own fulfilment must:
- Process and ship orders within the specified timeframes.
- Provide valid tracking information to customers where applicable.
- Ensure secure and appropriate packaging of products.
✅ 6.5 Customer Service
Vendors are required to:
- Respond to customer inquiries, complaints, and return requests in a timely and professional manner.
- Honour all applicable warranties, returns, and refund policies.
✅ 6.6 Fees and Payments
Vendors must:
- Pay all applicable subscription fees, commissions, or service charges as agreed under their chosen vendor plan.
- Maintain valid banking information to facilitate payment disbursements.
✅ 6.7 Compliance with Joetri Policies
All vendors must comply with:
- The Supplier Agreement
- The Acceptable Use Policy
- Any additional guidelines or requirements communicated by Joetri.
Failure to adhere to these obligations may result in account suspension, termination, or legal action.
7. Customer Obligations
Customers using the Joetri platform agree to abide by the following obligations to ensure a fair, secure, and trustworthy shopping experience for all parties:
✅ 7.1 Accuracy of Information
Customers must:
- Provide accurate and complete information when creating an account, placing orders, or engaging with vendors.
- Ensure that payment and delivery details are correct and up to date.
✅ 7.2 Payment Obligations
Customers are required to:
- Pay for products in full using the approved payment methods provided on the platform.
- Ensure that all payments are made in accordance with the agreed terms during checkout.
✅ 7.3 Use of the Platform
Customers agree to:
- Use the Joetri platform solely for lawful purposes and not for any fraudulent, malicious, or unauthorized activity.
- Refrain from engaging in activities that disrupt or harm the functionality, security, or integrity of the platform.
✅ 7.4 Respectful Engagement
Customers are expected to:
- Communicate with vendors, Joetri staff, and other users in a respectful and courteous manner.
- Avoid using abusive, discriminatory, or offensive language or behaviour.
✅ 7.5 Returns and Refunds
- Customers must follow the platform’s returns and refunds policy, and return items in accordance with the specified conditions and timelines.
✅ 7.6 Compliance with Policies
Customers agree to comply with:
- The Terms of Service
- The Acceptable Use Policy
- The Privacy Policy
- Any additional guidelines issued by Joetri.
Failure to comply with these obligations may result in suspension or termination of your account, and Joetri reserves the right to take further legal action if necessary.
8. Product Listings and Content Guidelines
To maintain a high-quality, trustworthy marketplace, Joetri has established clear guidelines that Vendors must follow when listing products or posting content on the platform.
✅ 8.1 Product Listing Requirements
Vendors are required to:
- Provide accurate, complete, and truthful descriptions for all listed products, including clear product titles, images, specifications, and pricing.
- Use high-quality images that accurately represent the product without misleading edits or alterations.
- Specify product availability, stock levels, and expected delivery times.
- Clearly disclose any warranty, guarantee, or special terms associated with the product.
✅ 8.2 Prohibited Content
Vendors may not list products or content that:
- Violate South African law or international trade regulations.
- Infringe on intellectual property rights, such as trademarks, patents, or copyrights.
- Are counterfeit, fake, or misrepresented.
- Promote hate speech, violence, discrimination, or illegal activities.
- Are listed in Joetri’s Prohibited Items Policy (e.g., illicit drugs, weapons, hazardous materials).
✅ 8.3 Content Standards
All content uploaded to Joetri, including product descriptions, store branding, promotional materials, and images, must:
- Be original or properly licensed.
- Be truthful and not misleading to customers.
- Not contain any offensive, defamatory, or inappropriate material.
- Comply with Joetri’s Acceptable Use Policy.
✅ 8.4 Monitoring and Enforcement
Joetri reserves the right to:
- Review, modify, or remove product listings or content that violate these guidelines.
- Suspend or terminate vendor accounts found to be in persistent or serious violation.
- Report illegal activities to relevant authorities if necessary.
By adhering to these guidelines, vendors help maintain a safe, reliable, and credible shopping environment for all users of the Joetri platform.
9. Orders, Payment, and Fees
✅ 9.1 Order Placement and Acceptance
- Customers place orders through the Joetri platform by selecting products and completing payment via approved payment methods.
- An order is considered accepted by the Vendor once Joetri confirms payment and the Vendor acknowledges the order.
- Joetri reserves the right to decline or cancel any order due to stock availability, pricing errors, or suspected fraudulent activity.
✅ 9.2 Payment Processing
- Joetri uses trusted third-party payment gateways to process all customer payments securely.
- Payment methods may include credit/debit cards, EFT, and other approved options.
- Payments collected from customers are held by Joetri before being disbursed to the Vendor, less applicable commissions and fees.
✅ 9.3 Vendor Payouts
- Vendors will receive payouts for completed transactions after the deduction of Joetri’s commission and any applicable fees.
- Payouts are processed according to Joetri’s payment schedule, typically on a weekly or bi-weekly basis, subject to clearance times and any disputes.
✅ 9.4 Fees and Commission
- Vendors are subject to:
- A commission fee per successful sale, as specified in the Vendor Agreement.
- Subscription fees, where applicable, for access to premium services or features on the platform.
- Any additional fees, such as for optional marketing or promotional services.
- All fees are clearly communicated during onboarding or within the Vendor dashboard.
✅ 9.5 Taxes
- Vendors are responsible for:
- Charging and remitting applicable VAT or sales taxes on their products, as required by law.
- Ensuring compliance with local tax obligations in their jurisdiction.
10. Shipping, Delivery, and Fulfilment
✅ 10.1 Fulfilment Models
Joetri offers multiple fulfilment options:
- Fulfilment by Joetri: Products stored, packed, and shipped directly from Joetri’s fulfilment center.
- Vendor Fulfilment: Vendors manage their own inventory, packaging, and shipping processes, subject to Joetri’s standards.
Vendors must clearly indicate which fulfilment method applies to their products.
✅ 10.2 Shipping Standards
Vendors (including Joetri fulfilment operations) must:
- Ensure timely processing and dispatch of orders in accordance with stated delivery timelines.
- Use reliable courier or logistics providers.
- Package products securely to prevent damage during transit.
✅ 10.3 Delivery Times
Estimated delivery times are communicated at checkout. Vendors are required to:
- Honour these estimates to the best of their ability.
- Inform Joetri and the customer promptly in case of any delays or issues.
✅ 10.4 Tracking Information
For orders managed directly by Vendors:
- Vendors must provide tracking numbers or references once orders are dispatched.
- This information must be updated promptly within the Joetri platform.
✅ 10.5 Risk of Loss
Risk of loss and title for products pass to the customer:
- When the customer takes possession of the product for Joetri-fulfilled orders.
- For vendor-fulfilled orders, risk and title remain with the vendor until the product is successfully delivered to and received by the customer..
✅ 10.6 Failed Deliveries
In the event of delivery failures:
- Vendors must cooperate with Joetri to resolve disputes or issues.
- Repeated delivery failures may result in penalties or suspension of the vendor’s selling privileges.
11. Returns, Refunds, and Cancellations
✅ 11.1 Returns Policy
Customers may return products in accordance with Joetri’s return policy, subject to the following conditions:
- Returns must be initiated within the specified return period stated at the time of purchase.
- Products must be returned in their original condition, unused, and with all original packaging, tags, and accessories.
- Certain products may be non-returnable or subject to special return conditions, as indicated in the product listing or by applicable law.
✅ 11.2 Refunds
Joetri and its Vendors will process refunds for eligible returns as follows:
- Refunds will be issued to the original payment method used by the Customer.
- The refund amount will exclude any shipping or handling fees unless the return is due to a Joetri or Vendor error (e.g., defective product, wrong item shipped).
- Refund processing times may vary depending on payment provider policies.
✅ 11.3 Cancellations
- Customers may request order cancellations prior to shipment.
- Once an order is shipped, cancellations are generally not permitted; Customers should follow the returns process upon delivery.
- Vendors must promptly communicate any cancellations to Joetri and the Customer.
✅ 11.4 Vendor Responsibilities
- Vendors are responsible for honoring return requests that comply with the above conditions.
- Vendors must cooperate with Joetri to resolve any disputes related to returns, refunds, or cancellations.
- Failure to comply with return and refund obligations may result in penalties or suspension.
✅ 11.5 Dispute Resolution
In case of disputes regarding returns or refunds, Joetri may mediate between Customers and Vendors to reach an amicable solution. Joetri reserves the right to make final decisions in accordance with its policies and applicable laws.
12. INTELLECTUAL PROPERTY RIGHTS
12.1 Ownership of Content
All intellectual property rights in the Joetri platform, including but not limited to software, design, logos, trademarks, text, graphics, images, and other content, are owned by Joetri or its licensors. These rights are protected by copyright, trademark, and other intellectual property laws.
12.2 Vendor Content License
By submitting or uploading any content to Joetri (including product listings, images, videos, descriptions, and other materials), Vendors grant Joetri a non-exclusive, worldwide, royalty-free, sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display such content for the purpose of operating and promoting the Joetri platform and Services.
12.3 Restrictions
Vendors must not upload, post, or share content that:
- Infringes any intellectual property rights of third parties.
- Is unlawful, defamatory, obscene, or otherwise inappropriate.
- Contains viruses, malware, or harmful code.
12.4 Intellectual Property Infringement Claims
Joetri respects the intellectual property rights of others and expects Vendors and Users to do the same. If Joetri receives a valid complaint about infringement, it may remove or disable access to the allegedly infringing content and take appropriate action, including suspension or termination of accounts.
12.5 Feedback
Any feedback, suggestions, or ideas submitted by Users or Vendors regarding Joetri’s Services become the property of Joetri and may be used without restriction.
13. DATA PRIVACY AND PROTECTION
13.1 Compliance with Data Protection Laws
Both Joetri and Vendors agree to comply with all applicable data protection and privacy laws, including but not limited to the Protection of Personal Information Act, 2013 (POPIA) in South Africa, and any other relevant international regulations.
13.2 Collection and Use of Personal Data
Joetri collects, processes, and stores personal data necessary to operate the platform, fulfill orders, and provide Services. Vendors are responsible for handling Customer data they receive in compliance with data protection laws and only for the purposes of order fulfillment and customer service.
13.3 Vendor Obligations Regarding Consumer Data
Vendors must:
- Use Customer personal data solely for order processing, customer support, and returns management.
- Implement appropriate security measures to protect personal data from unauthorized access or breaches.
- Not sell, share, or misuse Customer personal data obtained through the Joetri platform.
13.4 Joetri’s Privacy Commitments
Joetri commits to protecting the privacy and security of personal and business data collected on its platform, only sharing data as necessary to perform services or comply with legal obligations.
13.5 Data Breach Notification
In case of any data breach or unauthorized access involving personal data, the affected party must promptly notify the other and cooperate in managing and mitigating the breach, including any legal or regulatory notifications.
13.6 Confidentiality
Both parties agree to maintain confidentiality of all sensitive information exchanged during the course of their engagement, including business processes, consumer data, and technical details.
14. PROHIBITED ACTIVITIES
14.1 Restrictions on Use of the Platform
Users, Vendors, and Customers are prohibited from using the Joetri platform for any illegal, harmful, or unethical activities, including but not limited to:
- Selling counterfeit, pirated, or stolen goods.
- Listing prohibited or restricted products as outlined in Joetri’s Acceptable Use Policy.
- Engaging in fraud, money laundering, or deceptive practices.
- Infringing on intellectual property rights of third parties.
- Uploading or distributing malware, viruses, or harmful software.
- Attempting to bypass platform security or technical restrictions.
- Harvesting or collecting personal data of other users without consent.
14.2 Vendor-Specific Prohibitions
Vendors may not:
- Misrepresent their products, brands, or affiliations.
- Inflate pricing fraudulently or engage in price manipulation.
- Publish misleading or false advertising content.
- Violate any of Joetri’s policies or South African law.
14.3 Consequences of Violations
Violations of these prohibitions may result in:
- Suspension or termination of the user or vendor account.
- Removal of non-compliant content or product listings.
- Legal action, including claims for damages.
- Reporting to appropriate authorities for further investigation.
15. LIMITATION OF LIABILITY
15.1 Joetri’s Limitation of Liability
To the fullest extent permitted by law, Joetri shall not be liable to any User, Vendor, or Customer for:
- Indirect, incidental, or consequential damages, including but not limited to loss of profits, revenue, data, or business opportunities.
- Losses arising from third-party claims or issues related to products sold by Vendors.
- Damages caused by events outside Joetri’s reasonable control, such as system outages, cyberattacks, or acts of God.
15.2 Total Liability Cap
Joetri’s total liability for any claims, whether in contract, tort, or otherwise, is limited to the total amount of fees paid by the User, Vendor, or Customer to Joetri in the three (3) months preceding the claim.
15.3 Exclusions
Nothing in this clause limits Joetri’s liability for:
- Death or personal injury caused by gross negligence.
- Fraud or fraudulent misrepresentation.
- Any liability that cannot be excluded under applicable law.
15.4 User Acknowledgment
By using the platform, you acknowledge and agree that:
- Joetri provides the marketplace “as is” and “as available,” without warranties of any kind.
- You assume full responsibility for the use of the platform and products purchased or sold.
16. INDEMNITY
16.1 User and Vendor Indemnity
You agree to indemnify, defend, and hold harmless Joetri, its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:
- Your breach of these Terms of Service or any applicable policies.
- Your violation of any law or third-party rights, including intellectual property rights.
- Any content or product you provide, post, or sell on the platform.
- Fraudulent, negligent, or willful misconduct in connection with your use of the platform.
16.2 Joetri’s Right to Assume Defense
Joetri reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you. In such cases, you agree to cooperate fully with Joetri in defending any claim.
16.3 Continuing Obligation
This indemnity obligation survives the termination or expiration of your account or these Terms of Service.
17. SUSPENSION AND TERMINATION OF ACCOUNTS
17.1 Grounds for Suspension or Termination
Joetri reserves the right to suspend, restrict, or terminate your account and access to the platform if:
- You breach any provision of these Terms of Service, Privacy Policy, or Acceptable Use Policy.
- You engage in fraudulent, abusive, or illegal activities on the platform.
- Your activities pose a risk to the security, integrity, or reputation of Joetri or its users.
- You provide false, incomplete, or misleading information.
- Payment of any fees due to Joetri is overdue beyond the specified grace period.
17.2 Notice of Termination
- Where feasible, Joetri will provide you with reasonable notice and an opportunity to remedy the breach before suspending or terminating your account.
- In cases of severe violations or illegal conduct, Joetri may terminate the account immediately without prior notice.
17.3 Consequences of Termination
Upon termination:
- Your right to use the Joetri platform ceases immediately.
- Any pending transactions may be cancelled at Joetri’s discretion.
- All data, content, and information associated with your account may be deleted or retained in accordance with applicable law.
- Termination does not affect any outstanding payment obligations you owe to Joetri.
17.4 User-Initiated Termination
You may terminate your account at any time by contacting us at support@joetri.com. However, termination does not absolve you from any liabilities incurred prior to closure.
18. DISPUTE RESOLUTION
18.1 Good Faith Efforts
In the event of any dispute, claim, or disagreement arising from or relating to these Terms of Service or the use of the Joetri platform, the parties agree to first attempt to resolve the matter amicably through good faith negotiations.
18.2 Mediation
If the parties are unable to resolve the dispute through negotiation within 14 (fourteen) Business Days, they agree to refer the matter to mediation facilitated by an independent and mutually agreed mediator.
- The mediation will take place in Johannesburg, South Africa, unless otherwise agreed.
- Costs of mediation will be shared equally between the parties.
18.3 Arbitration
If mediation fails, the dispute shall be finally resolved by binding arbitration in accordance with the rules of the Arbitration Foundation of Southern Africa (AFSA) or its successor:
- The arbitration will be conducted in English.
- The seat of arbitration will be Johannesburg, South Africa, unless agreed otherwise.
- The arbitrator's decision will be final and binding on both parties.
18.4 Urgent Relief
Nothing in this section prevents either party from approaching a competent court for urgent interim relief to protect their rights pending the outcome of mediation or arbitration.
18.5 Continued Performance
While any dispute resolution process is ongoing, both parties will continue to perform their respective obligations under these Terms to the extent reasonably possible, unless these Terms have been terminated.
19. MODIFICATION OF TERMS
19.1 Right to Amend
Joetri reserves the right to amend, modify, or update these Terms of Service at any time. Any changes will be:
- Communicated via email, platform notifications, or by posting on the Joetri website.
- Effective 30 (thirty) calendar days after such notice is given, unless a shorter period is required for compliance with legal or regulatory obligations.
19.2 User’s Continued Use
Your continued use of the Joetri platform after the effective date of any changes constitutes your acceptance of the revised Terms.
19.3 Right to Object
If you do not agree to any updated Terms, you must:
- Discontinue use of the Joetri platform, and
- Contact Joetri to request account closure.
Failure to do so will be deemed as acceptance of the modifications.
20. COMPLIANCE WITH LAWS
20.1 Compliance Obligation
All Users, Vendors, Suppliers, and Customers agree to comply with all applicable local, national, and international laws, regulations, and standards when accessing and using the Joetri platform. This includes but is not limited to:
- Consumer Protection Laws
- Data Protection and Privacy Laws (e.g., POPIA)
- Tax Regulations
- Health, Safety, and Product Standards
- Import, Export, and Customs Laws
- Anti-Bribery and Corruption Laws
20.2 Legal Conduct
You agree to not use Joetri for any unlawful, fraudulent, or prohibited activities. Any such conduct will result in immediate suspension or termination of your account and may lead to legal action.
20.3 Cooperation with Authorities
Joetri may cooperate with law enforcement or regulatory authorities if required by law, court order, or in cases of suspected illegal activities on the platform.
21. GOVERNING LAW AND JURISDICTION
21.1 Applicable Law
These Terms of Service and any disputes arising from them or related to the use of the Joetri platform shall be governed by and construed in accordance with the laws of the Republic of South Africa, without regard to its conflict of law principles.
21.2 Jurisdiction
You agree that any legal proceedings or disputes that cannot be resolved through negotiation or mediation shall be subject to the exclusive jurisdiction of the competent courts of South Africa, unless otherwise agreed by both parties.
21.3 Dispute Resolution Encouraged
We encourage all Users, Vendors, and Customers to attempt to resolve any disputes amicably through direct communication or alternative dispute resolution methods before pursuing formal legal action.
